Truett-Hurst to Sell Shares on NASDAQ

IPO will put nearly 3 million shares on market for Healdsburg area winery

 

According to a press release published on the Sacramento Bee, the Dry Creek winery Truett-Hurst will have an initial public offering (IPO) of 2,902,557 shares of Class A common stock. 

The registration statement on Form S-1 relating to these securities has been filed with the Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.

Truett is recognized for their work in private label development and Truett-Hurst, VML, Bradford Mountain, and Healdsburg Ranches brands.

Lee Hodo, a public relations contact for Truett-Hurst, told Patch that as far as she could find out, this could be the first winery IPO since Ravenswood went public in 1999.

Hodo pointed out that Truett is an "emerging growth company" as defined in the JOBS Act, passed in April 2012, which allows companies to enter into public offering with eased restrictions, that can "take advantage of certain exemptions from various reporting requirements applicable to other public companies."

She anticipated the IPO will take place in a matter of weeks. The estimated price range for the initial public offering is between $11 to $15 per share.

Truett is headquartered in Healdsburg; the Truett-Hurst tasting room is located in Dry Creek Valley and has frequent weekend events.
